1. Scope
These terms apply to quotations, orders and sales of prefabricated buildings and related products by ModuCapsule Homes ("we", "us"). They apply unless varied by a written agreement signed by both parties.
2. Quotations
· Quotations are valid for 30 days unless stated otherwise.
· Prices are based on the specification stated in the quotation. Any change to specification, quantity or delivery terms may result in a price revision.
· Prices are exclusive of import duties, taxes and destination port charges unless DDP terms are expressly agreed.
3. Orders and Contract
· An order is confirmed when we issue a proforma invoice and receive the deposit.
· The agreed specification, drawing (where applicable) and delivery schedule form part of the contract.
· Buyer-requested changes after production begins may affect price and lead time.
4. Payment Terms
· Standard terms: 30% deposit by T/T with the order, balance against the copy of the bill of lading.
· L/C at sight accepted for orders above USD 20,000.
· Bank charges outside China are for the buyer's account.
5. Production and Lead Time
· Lead time is counted from the later of: receipt of deposit, and approval of drawings.
· Lead times are estimates. Delays caused by force majeure, buyer changes, inspection delays or vessel schedule changes do not constitute breach.
6. Delivery, Title and Risk
· Delivery terms follow the Incoterms stated in the quotation (FOB / CIF / DDP).
· Risk passes according to the agreed Incoterm. Title passes on receipt of full payment.
7. Inspection and Acceptance
· We provide loading photos and inspection records before shipment.
· The buyer may appoint a third-party inspection before loading; costs are for the buyer.
· Claims for shortage or visible damage must be notified with photos within 7 days of container arrival.
8. Warranty
· Warranty periods are stated in the product specification and sales contract, typically 5 years for structure and 3 years for waterproofing.
· Warranty excludes damage from misuse, unauthorised modification, improper foundation or installation, extreme weather beyond the design rating, and normal wear.
· Warranty is limited to repair or replacement of defective parts. We are not liable for indirect or consequential loss.
9. Intellectual Property
· Buyer-supplied designs remain the buyer's property; the buyer warrants they have the right to use them.
· Our designs, drawings and renderings remain our property and may not be shared with third parties without consent.
10. Confidentiality
Both parties keep commercial and technical information disclosed during the project confidential.
11. Limitation of Liability
Our total liability under any order is limited to the value of the goods supplied under that order. We are not liable for loss of profit, loss of business or indirect damages.
12. Force Majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disasters, epidemic, war, government action, port closure or transport disruption.
13. Governing Law and Disputes
These terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved by negotiation; failing that, by arbitration in Hangzhou or before a court of competent jurisdiction in Hangzhou.
